Type of refusal

Non-payment in crowdinvesting

In crowdinvesting, non-payment rarely looks like an outright default. A platform pauses payouts, points to the issuer's insolvency, or restructures a loan without investor consent. Sometimes the refusal sits at the platform itself: withdrawal requests are queued and never cleared. What the investor holds is a return promised on a dashboard, not a claim tested in court.

The contractual mechanism used

The refusal is usually written into terms few investors read closely. Loan-based platforms rely on a waterfall clause: payouts are conditional and subordinated to platform fees and senior claims, so a missed payment breaches nothing on paper. Equity-based platforms use a nominee structure instead, where the platform holds the share and the investor holds only a contractual right against the nominee, not the company. This sits within the wider non-payment refusal pattern across the crowdinvesting and platform debt class. Some terms add a force majeure clause covering issuer default, turning a fixed obligation into a discretionary one.

The document that decides the framing

What decides the case is whether the investor holds a direct claim against the borrower or issuer, or only a claim against the platform as intermediary. A loan agreement naming the investor as lender supports a contractual claim enforceable directly against the borrower. A nominee structure changes this: the claim runs against the nominee's obligation to pass on recovered funds, not against the underlying loan or share. This distinction decides whether the matter is framed as a payment default claim or a proprietary one, a split examined further in this analysis of private debt refusals.

The cross-border question

Crowdinvesting structures often separate three locations: platform, issuer, and investor. Enforcement follows the assets, not the platform's marketing address. German-law and Dutch-law variants differ, covered for German-law platforms and Dutch-law platforms. Which authority has jurisdiction depends on applicable procedural rules; interim relief depends on the case file. Further background sits in O1 insights.
