Refusal to redeem with a counterparty in Spain

The counterparty behind a stalled redemption in Spain is usually the fund vehicle, its general partner, or a servicing entity acting on their behalf. Before any procedure begins, what can be fixed now is who that entity legally is, where it is registered, and the documented history of the redemption request. The competent authority for this type of refusal is determined by the applicable procedural rule and is not named on this page.

Who is actually on the other side

A redemption refusal in Spain can come from a Spanish-registered fund, a foreign vehicle with a Spanish administrator, or a feeder structure where the entity an investor dealt with is not the entity holding the assets. The public commercial registry shows the legal form, registered address, and directors or administrators of record for a Spanish entity. It does not show internal fund gating provisions, side letters, or the actual decision-maker behind a refusal. Establishing which entity is contractually obliged to redeem, and which entity merely communicated the refusal, is a separate exercise from reading the registry entry.

What to secure before the counterparty reacts

Preserve the redemption request itself, with its timestamp, and every written response or non-response from the counterparty. Keep the subscription agreement, any side letters, and the fund's governing documents as issued at the time of subscription, not a later restated version. Record the identity and role of whoever communicated the refusal, since that person's authority may matter later. Note the location of the counterparty's known assets and bank relationships where visible. None of this is a procedural filing step. It is the evidentiary record a claim will later depend on, and it degrades the longer it is left uncollected.

Where a judgment would have to be enforced

If the claim proceeds to a judgment against a Spanish counterparty, where that judgment can be enforced depends on where the counterparty's assets sit, not on where the claim is filed. Within the EU, a judgment from another member state is recognised in Spain without a separate exequatur procedure (N142). For a foreign judgment falling under the 2019 Hague Judgments Convention, Spain is bound as an EU member state following the EU's accession, effective from 1 September 2023 (N152). Where a foreign public document needs to be used in Spain, the Apostille Convention applies, in force for Spain since 25 September 1978, subject to the reservation Spain has declared (N407).
