Foreign property in Netherlands
Dutch real estate held through a fund or a foreign vehicle rarely fails at the land register. It fails at the layer between the investor and the entity that appears in that register. The Kadaster is public and reliable. What sits behind it, a BV, a foreign SPV, a participation contract, is where a refusal to pay or to transfer usually originates.
Register and custody layer
The Kadaster records legal title to Dutch land and the notarial deed that created it. That record is dependable for the question of who owns the plot. It says nothing about who owns the entity that owns the plot, or about the rights an investor holds against that entity. Most cross-border property investments run through a corporate or fund layer sitting above the Kadaster entry. The custody of the investor's actual claim, shares, a loan note, a participation right, is a separate question from the land register and needs its own paper trail.
The document rarely handed over
Investors are usually given a subscription confirmation or an information memorandum. They are rarely given the notarial deed of transfer itself, the Kadaster extract naming the current registered owner, or the shareholder register of the SPV that holds the property. Without these, there is no way to confirm that the entity presented as owner actually is the one on record, or that the investor's paper interest maps onto anything the entity controls.
What belongs in a pre-deal report
A working report checks specific, verifiable items rather than impressions. Points worth including:
- A current Kadaster extract identifying the registered owner of the property in question.
- A KVK (trade register) extract for every Dutch entity in the ownership chain.
- The notarial deed reference and the notary who executed it.
- Confirmation of apostille status where documents originate outside the Netherlands or need to be used abroad; the Netherlands applies the Apostille Convention, with reservation and four extensions across the Kingdom in force since 8 October 1965.
- Mapping of every intermediary entity between the investor's subscription and the entity holding registered title.
