Fund structures in Cyprus

A fund interest in Cyprus is rarely a single document. It sits inside a chain: umbrella vehicle, sub-fund, administrator, depositary. What survives a refusal to redeem depends on where in that chain the investor's name actually appears, not on the marketing material that sold the position.

Register and custody layer

Cyprus alternative investment funds and RAIFs keep a unit holder register at the level of the administrator or manager, not in a public state registry. That register, not the subscription brochure, decides who is entitled to redemption proceeds. A separate depositary or custodian holds the underlying assets, in principle segregated by sub-fund. Whether that segregation was actually observed, and whether the investor's name is on the register directly or only through a distributor's nominee account, are two different questions with two different answers. Both need documentary confirmation before a refusal can be assessed. Identifying the real counterparty in this kind of structure is a separate exercise from identifying the fund itself.

The document rarely handed over

Investors who bought through a platform or a distributor usually hold a confirmation from that intermediary, not a register extract from the fund's administrator. The two look similar and are not the same. A distributor statement shows what the distributor recorded internally. A register extract shows who the fund itself recognises as entitled to redeem. When a redemption is refused, the difference between these two documents can determine who the claim runs against. What custody actually means for a claim in this structure is usually the first thing that needs establishing, before any letter is sent.
