Fund structures in Malta

A Malta fund holds together through two separate layers: the regulatory status of the vehicle itself and the register that records who actually owns a unit or share in it. Neither layer is visible from a subscription confirmation. When a redemption stalls, the first working question is whether the name on file with the fund's registrar matches the name the investor believes is recorded, and whether that register sits with the administrator, the fund itself, or a separate custodian.

Register and custody layer

Malta funds — whether structured as a SICAV, an investment company, or a unit trust — do not automatically place investor holdings on a public register. The Malta Financial Services Authority maintains a public list of licensed and notified schemes, but that list confirms the fund exists and its regulatory category. It does not confirm who holds units in it. That record sits with the fund's registrar or administrator, and separately, the underlying assets sit with a custodian or depositary. A stalled redemption can originate in any one of these three places, and they are rarely reviewed together before a formal claim is drafted. The distinction between the fund's public status and the private unitholder register is set out in more detail at how ownership in fund structures is actually recorded.

The document rarely handed over

Investors are usually given a subscription agreement and a fact sheet. What they rarely receive, unless they ask specifically, is the extract from the unitholder register confirming their holding at a given date, or the custody statement showing the fund's underlying position at the administrator or custodian level. Without either, a refusal to redeem is difficult to test: there is no independent confirmation that the holding existed in the form the investor was told, or that the assets backing it were where the fund's own documents said they would be. The gap between what the subscription contract promises and what the register or custodian actually shows is a recurring pattern, covered separately at what the fund structure contract usually leaves out.

What belongs in a pre-deal report

A working file on a Malta fund position should confirm, with documents rather than assurances: the fund's legal form and its current status with the regulator; the identity of the registrar holding the unitholder record and the identity of the custodian holding underlying assets, where these differ; the governing law stated in the constitutional documents; and whether any document relied on for a claim needs legalisation for use outside Malta, where apostille applies under the 1961 Convention as it has done since 1968 [N406]. Which authority would actually hear a dispute over this holding depends on the applicable procedural rules and is not stated in advance. Where the file is thin on any of these points, that is established through a paid initial assessment before anything is filed, drafted, or sent to the other side. A structural map of what this asset class typically involves in Malta is available at fund structures and collective investment vehicles.
