Fund structures in Netherlands

A Dutch fund position rarely fails at the point of investment. It fails at the exit request, when the manager or the depositary treats redemption as discretionary rather than contractual. What decides the outcome is the register entry and the custody arrangement standing behind it, not the subscription paperwork the investor was handed at the start.

Register and custody layer

Dutch fund vehicles typically sit as an FGR, a BV, or an NV, with a separate manager and, depending on the structure, a depositary holding legal title to the underlying assets. The participant register is kept by the manager or its administrator, not by a public body. There is no central register an outside party can query to confirm who holds units in a specific fund on a given date. The AFM licensing register confirms that a manager is authorised to operate; it does not confirm that any individual investor's position exists or was correctly recorded. This is the layer a dispute has to reconstruct before anything else is argued.

The document rarely handed over

Investors are usually given a subscription agreement and a periodic NAV statement. What they rarely receive, unless asked directly, is the custody statement covering the period between subscription and the point payment stopped, or written confirmation from the depositary of the units actually held in the investor's name. Where documents originate outside the Netherlands and need to be produced in a Dutch proceeding, legalisation matters: the Netherlands applies the Apostille Convention, with a reservation and four extensions across the Kingdom, in force there since 8 October 1965. A document without the correct form of authentication can be set aside on that basis alone, before its content is even considered.

What belongs in a pre-deal report

A usable report checks specific, verifiable points rather than describing the structure in general terms:

A paid initial assessment applies this checklist to the specific fund file rather than to the structure in the abstract. It sets out which of these items exist, which are missing, and what the missing items mean for the position, without estimating how the matter will end. Where the position also involves an enforcement question into the Netherlands, the review draws on the same file: see enforcement into the Netherlands for how that separate step is scoped.
