Fund structures in Singapore
A fund interest booked into a Singapore structure is held through a chain of records, not through the subscription agreement alone. The register of unitholders or limited partners, the custodian or trustee, and the fund administrator each hold a piece of the position. When a redemption or capital call is refused, the first question is which of these layers actually recorded the investor's claim.
Register and custody layer
Singapore fund vehicles, whether structured as a company, a variable capital company, or a limited partnership, keep a register that names the legal holder of each interest. That register is not always maintained by the manager who sold the position. It may sit with a corporate secretary, a trustee, or a separate fund administrator engaged for that function alone. Custody of the underlying assets is a further layer again, often held through a bank or custodian that has no contractual relationship with the individual investor.
Refusal to pay usually traces back to a mismatch between these layers: a register entry that was never updated, a custodian instruction that was never given, or an administrator that stopped acting without formal notice. Establishing which layer failed is a factual exercise, not a legal opinion, and it comes before any question of remedy. The fund structures overview sets out how this chain is usually assembled.
The document rarely handed over
Investors are typically given a subscription agreement and a set of periodic statements. What is rarely handed over is the register extract itself, or written confirmation from the custodian that the position is held in the investor's name. Without that document, a claim rests on the manager's representations rather than on an independent record.
Where a register extract or custody confirmation was issued outside Singapore and needs to be relied on in Singapore, or the reverse, legalisation may be required. Apostille has applied to Singapore since 16 September 2021, which affects how such documents are accepted across borders.[N412] Whether a specific document needs an apostille depends on where it will be used and who is asking for it.
What belongs in a pre-deal report
- The register entry or extract showing the investor as legal or beneficial holder at the relevant date.
- Custody statements covering the period from subscription to the point payment was refused.
- Correspondence in which the manager, trustee, or administrator identifies which entity holds the obligation to pay.
- Any notice of suspension, gating, or redemption deferral issued to the investor or to the class as a whole.
A paid initial assessment reviews these items against the structure's own governing documents before any letter goes out or any position is disclosed to the counterparty. That review is what turns a set of statements into a file that can support a claim, rather than a set of assumptions about who is supposed to pay.
