Non-payment in fund structures
In fund structures, refusal rarely looks like an outright rejection. A redemption request is accepted, then delayed by a gate, a suspension clause, or a NAV calculation that never closes. No letter says no; the silence is the refusal. This is one shape of non-payment across asset classes, applied to funds and collective structures.
The contractual mechanism used
The refusal is usually written into the fund's own documents, not improvised. Articles of association, a limited partnership agreement, or a private placement memorandum can give the manager or general partner discretion to suspend redemptions, apply a gate limiting payouts per period, or distribute in kind instead of cash. These clauses are lawful on their face. The dispute turns on whether the trigger conditions were met, whether discretion was used in good faith, and whether the suspension has run longer than the document allows. The document that decides the framing
Whether the claim is contractual or proprietary depends on what the investor actually holds. A unitholder or limited partner typically has a claim against the fund or its manager for breach of the subscription or redemption terms, not a direct claim to specific assets. The position varies by vehicle and domicile: a Luxembourg structure and a Malta structure attach different rights to what looks like the same instrument. The subscription agreement and constitutional document decide which framing applies before any claim is drafted.
The cross-border question
Fund disputes are cross-border by default. The vehicle may sit in one jurisdiction, the manager in another, and the custodian in a third. Enforcement follows the assets and the decision-makers, not the investor's location.
