Refusal to refund in structured products

An O3 refusal in this asset class rarely denies that money is owed. It withholds it. A surrender request goes unanswered, a structured note is not redeemed at maturity, or a payout is recalculated downward under a clause the client never noticed at signing. The insurer or issuer keeps performing on paper while the transfer does not happen.

The contractual mechanism used

Refusal is built into the policy or note terms themselves. Common devices include a discretionary surrender clause deferring payment during a review period, a market value adjustment cutting the redemption sum when underlying assets fall, a liquidity gate suspending redemptions across a share class, and an extraordinary circumstances clause invoked without a stated end date. None of these clauses deny that money is owed; they postpone it, recalculate it, or make it conditional on a trigger the issuer alone assesses. The document that decides the framing

The policy or subscription contract frames the claim as contractual, a sum owed under stated terms against the insurer or the issuing vehicle. Where the product holds assets in a segregated fund or compartment, a further question arises over whether the client also holds a proprietary claim to those assets, separate from any claim against the issuer's general estate. That framing decides who else can compete for the same assets in an insolvency, and whether the matter sits closer to a refund and delivery claim or a payment and redemption default.

The cross-border question

Enforcement lands where the insurer or issuer is domiciled, and separately where reserves sit, not always the same place.
