Private debt in United States

Private debt held through a US platform, fund, or direct note survives a refusal only as well as the underlying register survives it. The note, the LP interest, the SPV unit — none of these is the asset. The entry naming the holder is the asset. Where that entry sits, and who controls it, decides what can actually be reached once a payment stops. This page describes that layer, not the odds of recovering anything through it.

Register and custody layer

US private debt takes several forms: a direct promissory note, a limited partnership or LLC membership interest, a note issued by a special purpose vehicle, or a fractional position syndicated through a platform. Each form has a different record of who actually holds it. A note has an assignment history. An LP interest has a register kept by the fund's administrator. A platform-syndicated position often exists only in the platform's own internal ledger, which is not a public registry and answers to no external record-keeper by default. Disputes framed as a refusal to pay are frequently, underneath, disputes about whose ledger is treated as controlling. See how this class is approached generally in private debt and bonds, and how the jurisdiction itself is mapped at United States.

The document rarely handed over

Investors are usually given a subscription agreement and a portal dashboard. What they are rarely given is the custody confirmation from the entity that actually holds legal title, or the assignment instrument executed when a platform onboarded the underlying loan. Without that document, it is unclear whether the platform ever held an enforceable claim to pass on, or only administered a position on someone else's book. This gap is the subject of a separate look at what happens when a platform changes terms unilaterally, which turns on the same missing paper.

What belongs in a pre-deal report

Where a dispute also involves a valuation disagreement rather than a straightforward missed payment, the relevant checks differ; that is covered separately at valuation disputes in private debt. A paid pre-deal or pre-dispute report of this kind does not estimate an outcome. It establishes which documents exist, which are missing, and what the register actually shows, before any position is taken or any letter is sent. That review sits ahead of the enforcement work described at payment and redemption defaults, and before any cross-border step such as those mapped at enforcement into the United States. Verifying who is doing this work before instructing anyone is described at how to verify a law firm.
